issued shall rank pari passu in all respects with the existing ordinary shares of RM0.10 each.
AND THAT the Directors and the Secretaries of the Company be and are hereby authorised to
do all such acts, deeds and things as are necessary to give full effect to the Proposed Increase
in Authorised Share Capital with full power to assent to any conditions, modifications, variations
and/ or amendments as may be required and/ or as the Directors deem fit, appropriate and in
the best interest of the Company.”

SPECIAL RESOLUTION
PROPOSED AMENDMENT TO THE MEMORANDUM OF ASSOCIATION OF THE
COMPANY (“PROPOSED AMENDMENT”)
“THAT subject to the passing of Ordinary Resolution 2, approval be and is hereby given to the
Company to amend its Memorandum of Association by deleting the existing Clause 6 in its
entirety and substitute in place thereof the following new Clause 6:-
AND THAT the Directors and the Secretaries of the Company be and are hereby authorised
to do all such acts, deeds and things as are necessary to give full effect to the Proposed
Amendment with full power to assent to any conditions, modifications, variations and/ or
amendments as may be required and/ or as the Directors deem fit, appropriate and in the best
interests of the Company.”
8. To transact any other business of which due notice shall have been given in accordance with
the Companies Act, 1965.
