The terms used herein, unless the context otherwise stated, bear the same meaning as those defined in the earlier announcement dated 31 January 2024 in relation to the Proposed Private Placement.

We refer to the earlier announcements dated 31 January 2024, 6 February 2024 and 26 February 2024 in relation to the Proposed Private Placement.

On behalf of the Board, Mercury Securities wishes to announce that Bursa Securities has, vide its letter dated 29 February 2024, approved the listing and quotation of up to 84,379,642 new ordinary shares in TDEX representing not more than 10% of the issued shares of the Company (excluding treasury shares) pursuant to the Proposed Private Placement subject to the following conditions:-

(i)         TDEX and Mercury Securities must fully comply with the relevant provisions under the ACE Market Listing Requirements pertaining to the implementation of the Proposed Private Placement;

(ii)        TDEX and Mercury Securities to inform Bursa Securities upon the completion of the Proposed Private Placement; and

(iii)     TDEX to furnish Bursa Securities with a written confirmation of its compliance with the terms and conditions of Bursa Securities’ approval once the Proposed Private Placement is completed.
