We refer to the announcements made on 4, 12 February 2016, 2 March 2016 and 13 April 2016 in relation to the Private Placement (“Announcements”).

Unless otherwise stated, the terms used herein shall carry the same meaning as those defined in the earlier Announcements in relation to the Private Placement.

On behalf of the Board of Directors of TDEX (“Board”), TA Securities Holdings Berhad (“TA Securities”) wishes to announce that Bursa Securities had, vide its letter dated 18 April 2016, approved the listing and quotation of up to 39,939,750 TDEX Shares (excluding treasury shares) to be issued pursuant to the Private Placement, subject to the following conditions:-

(i)         TDEX and TA Securities must fully comply with the relevant provisions under the Bursa Securities ACE Market Listing Requirements (“ACE LR”) pertaining to the implementation of the Private Placement;

(ii)         TDEX and TA Securities to inform Bursa Securities upon the completion of the Private Placement; and

(iii)        TDEX to furnish Bursa Securities with a written confirmation of its compliance with the terms and conditions of Bursa Securities’ approval once the Private Placement is completed.

In the event the new TDEX Shares to be issued pursuant to the Private Placement will be listed and quoted as the existing securities of the same class, quotation of the new TDEX Shares will commence on the next market day after the following:-

(i)         submission of the share certificate together with a covering letter containing the summary of the Private Placement to Bursa Malaysia Depository (“Bursa Depository”) before 10.00 a.m. on the market day prior to the listing date;

(ii)         receipt of confirmation from Bursa Depository that the additional new shares are ready for crediting into the securities accounts of the respective account holders; and

(iii)        an announcement in accordance to Paragraph 12.2 of GN17 is submitted via Bursa Link before 3.00 p.m. on the market day prior to the listing date.
